The firm advised Vodafone Romania on all aspects of the project, including defining, structuring and implementing the contractual framework necessary for the conclusion of a network sharing agreement with its local competitor – Orange Romania. The agreement between Vodafone Romania and Orange Romania concerns sharing part of their physical sites infrastructure and will enable the two companies to continue investments in technology updates with national coverage. From a legal perspective, the matter involved an extensive analysis on the applicable regulations in multiple areas of law such as Corporate/Commercial, Regulatory, Competition/Antitrust, Telecom/Electronic Communications, Real Estate and Finance, so as to determine the optimal mechanisms for the successful implementation of the agreement. Tuca Zbarcea & Asociatii fielded a multi-disciplinary team led by Raluca Vasilache, Partner and Anca Jurcovan, Managing Associate. Also, Vlad Cercel, Horia Ispas, Andreea Oprisan, Dana Blaer, Raluca Sanucean (Tuca Zbarcea & Asociatii) and Alexandru Cristea (Tuca Zbarcea & Asociatii Tax) have played an integral role in the successful implementation of the various stages of the assignment. Telecom operators Vodafone and Orange today reached an agreement for sharing their network infrastructure in Romania, with Ţuca Zbârcea & Asociaţii acting as lead advisor to Vodafone Romania.

The firm advised Vodafone Romania on all aspects of the project, including defining, structuring and implementing the contractual framework necessary for the conclusion of a network sharing agreement with its local competitor – Orange Romania.

The agreement between Vodafone Romania and Orange Romania concerns sharing part of their physical sites infrastructure and will enable the two companies to continue investments in technology updates with national coverage.

Tuca Zbarcea & Asociatii successfully completes the first takeover transaction between two financial investment companies in Romania Tuca Zbarcea & Asociatii successfully advised the Muntenia Financial Group on the sale to SIF Banat-Crisana of its interest in SAI Muntenia Invest – the company managing SIF Muntenia (SIF4). The acquisition has been recently approved by the Romanian Competition Council, which found no incompatibility with a normal competitive environment, and by the Financial Supervision Authority (FSA). This is the first transaction on the Romanian capital market involving a financial investment company (SIF) taking over the control on the manager of another SIF. Tuca Zbarcea & Asociatii successfully advised the Muntenia Financial Group on the sale to SIF Banat-Crisana of its interest in SAI Muntenia Invest – the company managing SIF Muntenia (SIF4). Ciprian Timofte, a Senior Associate with the firm, was also a member of this team. “It has been an innovative project from multiple perspectives: on the one hand, considering the circumstances surrounding the signing of the agreement and, on the other hand, the novelty of such transaction on the Romanian capital market. As such, our team performed a careful analysis on a very complex and extended legal framework and also a thorough assessment on the market impact of the transaction, from the perspective of meeting the clearance requirements of the relevant authorities, namely the FSA and the Competition Council”, stated Silvana Ivan, coordinator of the legal team assisting the seller.
