Țuca Zbarcea & Asociații takes lead role as Interbrands Marketing & Distribution signs deal with GlaxoSmithKline Țuca Zbarcea & Asociații advised on one of the most important deals taking place in the pharma sector since the beginning of the year. The firm acted for Interbrands Marketing & Distribution, the largest Romanian company in the distribution and marketing of fast moving consumer goods (FMCG), on its acquisition of Europharm Holding, a local drug distribution company owned by UK drugmaker GlaxoSmithKline. With the signing of the deal on October 13th, a first stage of a lengthy and complicated process had been completed. All the more important, the firm’s lawyers were asked to play a crucial and intensive part in the final round of negotiations to facilitate consensus. The transaction is subject to antitrust clearance from Romania’s Competition Council and is conditioned by the completion of certain commercial terms. Țuca Zbarcea & Asociații has advised the purchaser with a team in Bucharest led by Andreea Lisievici (Managing Associate) alongside Andreea Oprișan (Senior Associate) and Ruxandra Frangeti (Senior Associate), handling the competition and corporate/commercial aspects of the transaction. “The takeover of Europharm has been quite an exceptional project for so many reasons. First, aside from the business-related complexity, it made us face successive changes in the commercial foundation of the transaction which needed to be translated into efficient contractual clauses. Second, our ability to concentrate on the commercial goal of the contracts and give it precedence over the legal approach has been greatly tested, and Interbrands is the ideal client with which to undertake such a task. We acted as one – the client and the firm’s lawyers”, says Andreea Lisievici. „The team at Țuca Zbarcea provided Interbrands with professional, sustained and dedicated support during a complex transaction that lasted for over one year to our entire satisfaction. It is not the first time that we worked with this young, fun and dynamic team and in the future we would not hesitate retaining them again”, adds Rand Sherif, CEO Interbrands. Țuca Zbarcea & Asociații advised throughout the acquisition process, starting with the due diligence phase up to negotiation of transaction documents. The team will continue to act for Interbrands Marketing & Distribution as regards regulatory/competition clearance and the next steps in completing the closing.

Tuca Zbarcea & Asociatii, recognised by the Financial Times as a “Game Changing Law Firm” Now in its tenth year of publication, the FT Innovative Lawyers Report is a special anniversary edition, celebrating the most innovative legal work in Europe. The report recognises Tuca Zbarcea & Asociatii amongst Europe’s game changing innovators of the past decade. “A ground-breaking Romanian firm that is a perennial feature of the FT reports. It acts as a developed-market firm in the way it puts a multidisciplinary approach at the heart of its client service, to ensure that legal advice is given holistically and in context”, writes the FT Innovative Lawyers 2015 report. The firm’s prominence in the market and its approach to innovation have made the editors and researchers of the FT report to rank Țuca Zbarcea & Asociatii in the top five game changers of the last ten years. The firm came #3 in the “Top Five European Game Changers of the Past 10 Years” ranking which refers to law firms outside the UK, and Țuca Zbarcea & Asociatii is the only Romanian player featured within this category. The other game changers are two Portuguese firms, a Finnish firm and a Danish firm. “We are, indeed, a perennial feature of the FT reports – a robust and complex analysis of the top innovations in the European legal market. To us, the FT Innovative Lawyers report is probably the most difficult and extensive research in the market aiming to assess innovations done by lawyers. A team of editors has to thoroughly weigh, analyse, score and rank hundreds of submissions received from leading law firms across Europe. A happy coincidence, 2015 marks not only a decade of innovation for us, according to the FT Innovative Lawyers report where we came third, but also our tenth year anniversary as a firm”, says Alina Pintica, Chief Marketing and Communications Officer, who coordinates the law firm’s entries with the various legal directories and international publications, including the Financial Times. The firm acknowledges that taking part in a ranking of lawyers on innovation at a European level has become more of a tradition. “We strive to keep up with fellow Europeans, especially UK law firms, in terms of innovation. I do not know if we have changed the rules of the game in any way during all these years. It is however true that we always passionately search for legal and business solutions suitable for us and our clients”, said Alina Pintica. “As law firms are facing more and more challenges and threats, both locally and internationally, innovation paves the way for growth, re-invention and readjustment in this industry. We are witnessing a paradigm shift in so many respects, spanning the increasingly sophisticated role of the client to the need to reassess the organisational and management principles of law firms and the proliferation of technology in all its forms. This not only raises significant regulatory issues, but also forces law firms to embrace new techniques and to innovate in this area, in order to boost their efficiency and productivity”, added the Chief Marketing Officer of Țuca Zbarcea & Asociatii. This year, Țuca Zbarcea & Asociatii has been shortlisted for an award in the “Game Changing Law Firm in Europe (outside the UK)” category of the Financial Times Innovative Lawyers report.
